These Terms of Use (the “Terms”) govern your access to and use of the websites, mobile applications, products, and services offered by TNNS, Inc. (“TNNS”, “we”, “us” or “our”), including the SPRT, TNNS, and GLF apps and any related sites operated at teamsprt.com (collectively, the “Service”). Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Eligibility and Account

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement of a parent or legal guardian. You are responsible for any activity that occurs on or through your account, and for keeping your account credentials secure. Notify us promptly at support@teamsprt.com if you suspect any unauthorized access.

Intellectual Property and License

The Service, including the software, data, scores, statistics, graphics, design, text, logos, trademarks, and other content made available through it, is owned by TNNS, Inc. or its licensors and is protected by copyright, trademark, and other applicable laws.

Subject to your compliance with these Terms, TNNS grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial use. No other rights are granted to you by implication or otherwise. All rights not expressly granted are reserved.

Restrictions on Use of Data and Content

The data, statistics, scores, and other content displayed on or through the Service are made available solely for your personal, non-commercial use. You may not use, reproduce, distribute, sell, license, publicly display, or otherwise exploit any part of the Service or its content for any commercial purpose without our prior written consent.

Without limiting the foregoing, the following activities are strictly prohibited:

• Scraping, crawling, harvesting, indexing, mirroring, or otherwise systematically extracting data or content from the Service, whether manually or by automated means.
• Using any robot, spider, scraper, data-mining tool, or other automated system to access, monitor, or copy any part of the Service.
• Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code or underlying ideas of the Service, except to the extent applicable law expressly prohibits such restriction.
• Using our trademarks, logos, domain names, or other brand features without our prior written permission.
• Removing, obscuring, or altering any proprietary notices contained in or displayed on the Service.
• Re-publishing, redistributing, or making available data or content from the Service to any third party.

Acceptable Use

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of the Service by, any third party. You agree not to:

• Violate any applicable law, regulation, or third-party right;
• Upload, post, transmit, or otherwise make available any content that is unlawful, defamatory, harassing, abusive, threatening, obscene, hateful, or otherwise objectionable;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Interfere with or disrupt the Service or the servers and networks connected to the Service, including by uploading viruses, malicious code, or excessive traffic;
• Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems;
• Use the Service to engage in unauthorized advertising, solicitation, or distribution of unsolicited communications.

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms.

User Content and Submissions

You retain ownership of any content you submit to the Service (“User Content”). By submitting User Content, you grant TNNS a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and providing the Service. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate these Terms or any third-party rights.

Third-Party Content and Services

The Service may include links, integrations, or content from third parties, including sports leagues, data providers, advertisers, and payment processors. We do not control and are not responsible for any third-party content, products, services, or websites, and your interactions with third parties are governed by their own terms and policies. Your use of any third-party service is at your own risk.

Purchases and Subscriptions

Certain features of the Service may be offered for a fee or on a subscription basis through the Apple App Store, Google Play, or another authorized distribution channel. Purchases made through those platforms are also subject to the applicable platform's terms. Subscription billing, renewal, cancellation, and refund policies are handled by the platform through which you made the purchase. Unless required by law, all sales are final.

Privacy

Your use of the Service is also governed by our Privacy Policy, which explains what information we collect and how we use it. You can review our Privacy Policy at https://teamsprt.com/privacy. By using the Service, you consent to the practices described in the Privacy Policy as updated from time to time.

Security

We take reasonable measures designed to protect the security of the Service and the information associated with your account. However, no system is completely secure, and we cannot guarantee that our safeguards will prevent every unauthorized access. You are responsible for safeguarding your account credentials and for notifying us promptly of any suspected compromise.

Changes to the Service

We may modify, suspend, or discontinue all or any portion of the Service at any time, for any reason, with or without notice, and without liability to you or any third party. We may also impose limits on certain features or restrict access to parts of the Service without notice or liability.

Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, TNNS disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that any data, statistics, scores, or other information made available through the Service is accurate, complete, current, or reliable. You acknowledge that any reliance you place on such information is at your own risk.

Limitation of Liability

To the fullest extent permitted by law, in no event will TNNS, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, use, goodwill, or other intangible losses, arising out of or in connection with: (a) your access to, use of, or inability to access or use the Service; (b) any conduct or content of any third party on or through the Service; or (c) any unauthorized access, use, or alteration of your content or account.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of one hundred U.S. dollars (US$100) or the amount you paid us, if any, in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless TNNS and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms or any applicable law.

Dispute Resolution and Arbitration

We hope to resolve any concerns informally. Before initiating any formal proceeding, please contact us at support@teamsprt.com so we can attempt to address your concerns in good faith.

Binding Arbitration

Except for disputes in which either party seeks injunctive or other equitable relief for the alleged infringement or misuse of intellectual property rights, you and TNNS agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through final and binding arbitration. The arbitration will be administered by JAMS in accordance with its applicable rules then in effect, and will take place in Los Angeles County, California, unless you and we agree otherwise. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver

You and TNNS agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, both parties waive any right to a jury trial to the fullest extent permitted by law.

Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of California, without regard to its conflict of laws principles. For any claim not subject to arbitration, the parties agree to the exclusive personal jurisdiction of, and venue in, the state and federal courts located in Los Angeles County, California.

Termination

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means and update the “Last updated” date at the top of these Terms. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

Entire Agreement; Miscellaneous

These Terms, together with our Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and TNNS regarding the Service and supersede all prior or contemporaneous understandings on that subject. Our failure to enforce any provision of these Terms is not a waiver of that provision. If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect. You may not assign or transfer these Terms without our prior written consent, and any attempted assignment in violation of the foregoing will be void.
